I just typed NTLDR into Google, and there's loads of entries.

sounds like th "trying to upgrade 98, ME that use fat32 filesystem to xp which uses ntfs" on the above link from anns post

1. boot from CD-ROM with windows setup disk in drive
2. recovery consule ("R")
3. chose installation (1: WINDOWS)
4. from command prompt
a) chkdsk /r
b) bootcfg /rebuild ("yes" to save upon completion)
c) fixboot
d) fixmbr
